Forming an LLC in Nebraska in 7 easy steps

  • When forming an LLC in Nebraska, you must chose a name that contains an LLC identifier, such as “Limited Company”, “Ltd Liability Co” or “L.L.C.” The name you pick must be available, i.e. not used by any other LLC, and you must of course adhere to trademark law. You are not allowed to use the following terms:  “building and savings”, “savings and building”, “loan and building”, “building and loan”, “loan and savings”, “savings and loan”, “savings and loan association”, “loan and savings  association”, “loan and building association”, or “building and loan association”.
  • Nebraska state law does not require an attorney when forming an LLC, but it is still a good idea to hire an attorney to go through your Operating Agreement. The Operating Agreements can cause IRS trouble if it is faulty and paying an attorney can save you a lot of money in the long run.
  • File the Articles of Organization at the Nebraska State filing office. The minimum LLC state filing fee is $120 in Nebraska. (For 40 business days.)
  • Arrange an Organizational Meeting where the members of the limited liability company formally adopt the Operating Agreement. Without an adopted agreement, you will not be able to proceed to step five, six and seven.
  • Your LLC is now ready to get its own Federal Employer Identification Number (FEIN).
  • Open up a comapny bank account to handle company transactions.
  •  Apply for a local business license and any required permits from each city/county that you plan on being active in.

Maintaining an LLC in Nebraska
Unlike most other states, Nebraska does not require annual reports from local liability companies – biannual reports are enough. The biannual reports start next year April 1st and are then due every odd year. In Nebraska, the report fee is $20.00.
