Forming an LLC in Missouri in 7 easy steps

  1. Step one is to pick a suitable name that adheres to Missouri state law. The name cannot violate any trademark or contain the terms "incorporated", "corporation", or "limited partnership", nor any abbreviations of such words. You are not allowed to use a name already occupied by another LLC and you must of course follow trademark law. The name you chose must contain an LLC identifier, e.g. “Ltd Liability Co” or “LLC”.  If you for instance wish to call your company “Missouri Marmalade” you can pick the formal name “Missouri Marmalade LLC” or similar.
  2. Missouri state law does not require you to hire an attorney when forming an LLC. It can however be a good idea to pay an attorney to check your Operating Agreement to prevent future tax problems.
  3. File the Articles of Organization at the Missouri State filing office and pay the filing fee. In Missouri, the minimum filing fee is $150. (For 15 business days.)
  4. Arrange an Organizational Meeting where the members of the LLC adopt the Operating Agreement.
  5. Get a Federal Employer Identification Number (FEIN).
  6. Open up a company bank account.
  7. Apply for any required local business licenses and permits in the cities and counties where you will be active.
