- The first step is to pick a name for your LLC. The name must include an LLC identifier, such as “Limited Company”, “Limited Liability Company” or “LLC”. You are not allowed to use a name occupied by any other LLC and you must of course adhere to trademark law. According to Maryland state law, you cannot use the term “cooperative” in the name, unless your company complies with the provisions of this subtitle. (Electric cooperatives and transportation cooperatives are specifically exempt from this restriction.).
- Letting an attorney check your Operating Agreement is advisable, because a faulty Operating Agreement can cause serious tax problems for the LLC in the future. You are however not required by Maryland state law to do so; it is entirely up to the members of the LLC.
- Go to the Maryland State filing office and file the Articles of Organization for your LLC. When forming an LLC in Maryland, the minimum state filing fee is $105.00. (For 40 business days.)
- During step four, it is time for the members of the LLC to hold an Organizational Meeting where the Operating Agreement is formally adopted.
- Get a Federal Employer Identification Number (FEIN) for the LLC.
- Let the LLC open up a company bank account.
- Decide in which cities and states your wish to be active and apply for any necessary local business licenses and permits for the LLC.
