Forming an LLC in Maine in 7 easy steps

  1. The first step when forming an LLC in Maine is to select a name for the company. The name must contain an LLC identifier, such as “Ltd Liability Co” or “L.L.C.”. You are naturally not allowed to violate trademarks and you cannot use a name that is already occupied by another LLC. According to Maine state law, the name of an LLC is not allowed to contain obscene language, inappropriately promote abusive or unlawful activity, or inaccurately imply association with public institutions. 
  2. Forming an LLC in Maine is pretty straightforward and you are not required by state law to hire an attorney. It is however advisable to let an attorney check the Operating Agreement, because flawed Operating Agreements have caused IRS problems for many LLC’s.
  3. File the Articles of Organization at the Maine State filing office and pay the filing fee. The minimum filing fee is $175.00. (For 15 business days.)
  4. During step four, the members of the LLC will have an Organizational Meeting where the Operating Agreement is formally adopted.
  5. You are know ready to acquire a Federal Employer Identification Number (FEIN) for the LLC.
  6. During step six, the LLC should get its own company bank account.
  7. During the final step, the LLC should apply for a local business license and any necessary permits in each city or county where it plans to do business.

In Maine, all LLC’s are required to hand in an annual report before June 1st and pay $85 in report fee.
