Forming an LLC in Louisiana in 7 easy steps

  1. To begin with, your company must naturally have a name. When forming an LLC in Louisiana you are not allowed to include the name of any public facilities, including parks and playgrounds, in you company name together with the word "benevolent", "endowment", "philanthropic", "benefit", "fund", and/or "foundation". An LLC identifier must be included in the name of all limited liability companies, such as “L.L.C.” or “Ltd. Liability Co.”. You cannot use a name that is already used by another LLC and you must of course follow trademark law.
  2. Flawed Operating Agreements can cause serious tax problems for LLC’s and it can therefore be a good idea to hire an attorney to go through your Operating Agreement before your adopt it. You are however not required by Louisiana state law to do so; the decision is entirely up to you.
  3. During this step, you will visit the Louisiana State filing office, file the Articles of Organization and pay the filing fee. When forming an LLC in Louisiana, the minimum state filing fee is $60.00. (For 20 business days.)
  4. Your LLC is now ready to have an Organizational Meeting where the members of the LLC adopt the Operating Agreement.
  5. Your newly formed LLC can not obtain a Federal Employer Identification Number (FEIN).
  6. During step six, you will open up a bank account for your company.
  7. The last step is to apply for business licenses and any required permits from all the cities and counties that you plan on doing business in. 

Maintaining an LLC in Louisiana 
Each year, the LLC must hand in an annual report by the date of original filing. The annual report fee in Louisiana is $25.
