- To begin with, you LLC must be given a name and the name must include an LLC identifier, such as “Limited Liability Company”, “Ltd Liability Co” or “LLC”. In order to adhere to Delaware law, you can not use the words “bank” or “trust”, or any variations of these words in your name. You must also refrain from using a name that is already used by another LLC and trademark violation must of course also be avoided.
- You are not required by law to hire any type of legal export when forming an LLC in Delaware, but it can still be a good idea to let an attorney check your Operating Agreement. Problems in the Operating Agreement can lead to tax difficulties in the future.
- Visit the Delaware filing office and file the Articles of Organization. When forming an LLC in Delaware the minimum LLC filing fee is $119.00. (For 40 business days.)
- During step four, the members (owners) of the LLC must get together and adopt the Operating Agreement.
- Apply for a Federal Employer Identification Number (FEIN) for the LLC.
- Open up a company bank account.
- Decide in which cities or counties you will conduct business and apply for any necessary business licenses and permits.
Maintaining an LLC in Delaware
The LLC must file a report each year and pay $30 in report fee. The due date for the annual report is June 1st.
