Forming an LLC in Arizona in 7 easy steps

  1. Pick a name for your company. In order to adhere to Arizona state law, the name must contain an LLC identifier, such as Ltd Liability Co or LLC. (If you want your name to be “Arizona Ice Cream”, the formal name will be “Arizona Ice Cream LLC” or similar.)  The name must be unique, i.e. not used by any other LLC, and you must of course refrain from violating trademarks. According to Arizona state law, the words “deposit”, “bank”, “trust” or “trust company” are restricted and can only be used in the names of companies that have been granted special license.
  2. Let an attorney take a look at your Operating Agreement. This is not required by Arizona state law, but an poorly written Articles of Organization can lead to IRS problems in the future and using a legal expert is therefore a good idea.
  3. File your Articles of Organization at the Arizona State filing office and pay the filing fee. The minimum LLC filing fee in Arizona is $50.00, but this fee is for 210 business days. Companies can chose to speed up the filing process by paying an extra fee.
  4. Arrange an Organization Meeting with the members (owners) of the LLC where you adopt the Operating Agreement for your company.  
  5. Apply for a Federal Employer Identification Number (FEIN).
  6. Arrange a bank account for you company.
  7. Apply for any necessary business licenses and permits for each city or county where you plan on being active.

Maintaining an LLC in Arizona
If you form an LLC in Arizona you will be required to hand in annual reports. The due date for the annual report is the same as the initial filing date. You have to pay $45 in report fee.
