Forming an LLC in Alaska

Forming an LLC in Alaska in 7 easy steps

  1. Start out by coming up with a suitable name for your Limited Liability Company. You must of course pick a name that does not violate trademark law and names used by any other LLC are also off limits. In addition to this, you are not allowed to use terms such as “city”, “village”, “borough” or similar when forming an LLC in Alaska since this could confuse the public into thinking your LLC is a municipally. Last but not least, you must add an LLC designator to the name, e.g. LLC, L.L.C or Limited Liability Co.
  2. Let an attorney take a look at your Operating Agreement. This is not required by Alaska state law, but it is a way of avoiding future problems with the IRS. A poorly written Operating Agreement can cause taxation problems in the future.
  3. File your Articles of Organization at the Alaska State filing office. The minimum state filing fee for forming an LLC in Alaska is $250.00. (For 15 business days.)
  4. Have an Organizational Meeting where the members of the LLC adopt an Operating Agreement.
  5. Obtain a Federal Employer Identification Number (FEIN) for you newly formed LLC.
  6. Get a company bank account.
  7. Apply for business licenses, permits and similar from all the cities and counties that you plan on being active in.

Maintaining an LLC in Alaska
In many U.S. states, LLC’s are required to hand in annual reports but forming an LLC in Alaska means that you only have to hand in biennial reports (every two years). The report is due in January and you have to pay $100 in report fee.
